Terms of Service

Welcome to WiseOwl! These Terms of Service (“Terms”) govern your access to and use of the WiseOwl platform, website, and related services (collectively, the “Service”). WiseOwl Innovations (“WiseOwl,” “we,” or “us”) provides this Service to facilitate collaboration and communication between schools and parents/guardians regarding students’ reading and library activity. Please read these Terms carefully, because by accessing or using WiseOwl, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

These Terms apply to all visitors and users of the Service, including school administrators, educators, and invited parents or guardians of students. If you are using WiseOwl on behalf of a school or other organization, you represent that you have the authority to accept these Terms on its behalf.

  1. Acceptance of Terms

By using or accessing the WiseOwl Service, you indicate that you accept these Terms of Service and agree to abide by them. If you do not agree to these Terms, you are not authorized to use WiseOwl. We may ask you to explicitly consent to these Terms (for example, by clicking “I Agree” during account registration); however, your use of the Service itself also constitutes acceptance.

These Terms incorporate our Privacy Policy (which outlines how we handle your personal data) – by agreeing to these Terms, you are also consenting to the practices described in the Privacy Policy. The Privacy Policy is provided above for your reference. 

You understand that the Service is continually evolving. From time to time we may develop patches, bug fixes, updates, upgrades and other modifications to improve performance or add features. By using the Service, you agree to receive such updates (and permit WiseOwl to deliver these to you), as part of your use of the Service.

  1. Eligibility and Account Creation

Invitation-Only Access: WiseOwl is not a publicly available consumer service; it is offered through participating schools. You may create an account on WiseOwl only if you have received an invitation or access code from a school or district that has adopted WiseOwl for its library system. The typical user is a parent or legal guardian of a student at a participating school (or an educator/administrator at the school). You agree not to attempt to access or register for the Service if you have not been expressly authorized or invited to do so.

Age Requirement: The Service is intended for use by adults (such as parents, guardians, and school staff). You must be at least 18 years old (or the age of majority in your jurisdiction) to create a WiseOwl account. If you are under 18, you may use the Service only under the supervision and with the consent of your parent or guardian (note: in general, students under 18 do not create their own accounts on WiseOwl; their parents handle the access). By accepting these Terms, you represent that you meet the applicable age requirement or have appropriate consent.

Account Registration: To access certain features of WiseOwl, you will need to create an account. This typically involves clicking an invitation link or code provided by your child’s school, then registering by providing certain information (such as your name, email address, and setting a password). You agree to provide truthful, accurate, and complete information during registration and to keep your account information up-to-date. You must not impersonate anyone or misrepresent your affiliation with a student or school when creating an account.

Account Security: You are responsible for maintaining the confidentiality of your account login credentials. Do not share your password or allow others to access the Service through your account. You agree to notify us immediately at support@wiseowlinnovations.com if you suspect any unauthorized use of your account or any breach of security. WiseOwl will not be liable for any loss or damage arising from your failure to safeguard your account. You are responsible for all activities that occur under your account, whether or not you know about them.

  1. Permitted Use of the Service

WiseOwl grants you a limited, revocable, non-exclusive, non-transferable right to use the Service in accordance with these Terms. This license is provided solely for your personal use (if you are a parent/guardian) or your professional use (if you are an educator/administrator) in connection with the educational collaboration purposes of the platform. All use must be for lawful purposes and within the intended scope of WiseOwl’s functionality.

You agree that you will NOT use WiseOwl (or any part of our website or platform) in any way that:

  • Violates any laws or regulations: You will not use the Service to engage in any unlawful, fraudulent, or malicious activity. This includes (but is not limited to) refraining from using WiseOwl to harass, defame, or threaten others, or to promote any illegal behavior.
  • Infringes rights of others: You will not upload, post, or transmit any content that you do not have the right to share, or that infringes or violates any intellectual property rights, privacy rights, or any other rights of any person or entity.
  • Interferes with the Service: You will not use the Service in a manner that could disable, overburden, damage, or impair the Service or interfere with any other party’s use of WiseOwl. This includes not introducing viruses, worms, malware, or any other harmful code, and not attempting to circumvent any security or access controls of the platform.
  • Attempts unauthorized access: You will not attempt to gain unauthorized access to any portion of the Service, accounts, computer systems, or networks connected to WiseOwl, through hacking, password mining, or any other means. Similarly, you agree not to misuse any reporting or communications features by impersonating another person or misrepresenting your identity.
  • Constitutes spamming or unsolicited communication: You will not use the Service to send unsolicited bulk messages or communications unrelated to the Service’s educational purpose. WiseOwl’s email and messaging functions (if provided) are intended for specific collaboration between schools and parents; they must not be used to send general advertisements or any content that could be considered “spam.”
  • Harms minors or is inappropriate: You will not post or share any content via WiseOwl that is obscene, pornographic, sexually explicit, violent, or otherwise harmful (especially not content that would be inappropriate in an educational environment or accessible to minors). Any communications through WiseOwl should remain respectful and focused on the student’s reading and education.

Compliance: WiseOwl reserves the right (but does not assume any obligation) to monitor user activity and content on the platform. We may investigate any violation of these rules and take appropriate action, which could include removing content, issuing warnings, suspending or terminating accounts, or notifying law enforcement. However, the primary responsibility for ensuring lawful and appropriate use of the Service lies with you, the user.

  1. User Content and Communication

User-Generated Content: As part of using WiseOwl, you may have opportunities to input or upload content, such as setting reading preferences, posting comments or questions for educators, or otherwise communicating through the platform (“User Content”). You retain any ownership rights you have in the User Content that you create. By submitting or sharing User Content on WiseOwl, you grant WiseOwl a worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and adapt your content solely for the purpose of operating the Service and facilitating the intended communications (for example, showing your comments to the relevant teacher, or including your book suggestions in a shared list).

Appropriate Conduct: You are solely responsible for any User Content you provide and for your interactions with others on the Service. You agree that any content you submit will comply with the guidelines in Section 3 above (Permitted Use) and with all applicable policies. This means, for instance, you will not share anything that is illegal, confidential (from a source you are not allowed to share), defamatory, or abusive. Keep discussions and content relevant to the educational context.

WiseOwl is a collaborative environment for the benefit of students – all users (parents, teachers, administrators) should treat each other with courtesy and respect. Harassing, bullying, or discriminatory behavior is strictly prohibited. If you are an educator or school official, you also agree to follow all applicable school policies and regulations when using WiseOwl to communicate with parents or students.

Monitoring and Removal: While WiseOwl does not routinely pre-screen User Content, we reserve the right to review and remove (or require the school to remove) any content that, in our judgment, violates these Terms or that is otherwise objectionable. We may also disable the accounts of users who repeatedly violate the content or conduct rules. WiseOwl is not responsible for any failure or delay in removing such material. If you encounter any content or behavior that you believe violates these Terms or the spirit of the platform, please report it to us or to the appropriate school representative.

No Endorsement: Any opinions, advice, statements, or other information or content made available by users (such as parents or educators) are those of the respective author(s) and not of WiseOwl. We do not endorse and are not responsible for the accuracy, reliability, or suitability of any User Content. You understand that any reliance on User Content is at your own risk.

  1. Communications and Notifications

Consent to Electronic Communications: By creating a WiseOwl account or otherwise providing us with your contact information, you consent to receive electronic communications from us (and, where applicable, from your child’s school through the platform). These communications may include service announcements, administrative messages, notifications about your child’s library activity (e.g. book checkout alerts), and other information related to the Service and your child’s reading journey.

WiseOwl will primarily communicate with you via the email address associated with your account or via in-app notifications. You agree that any notices, agreements, or other communications that we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.

Opting Out of Non-Essential Emails: We value your privacy and preferences. If you prefer not to receive certain types of emails or notifications, you will have the opportunity to opt out. For example, if we send newsletters or optional updates, those emails will contain an “unsubscribe” link allowing you to stop future messages of that type. You can also contact us to adjust your communication preferences. We will honor opt-out requests in a timely manner, in compliance with applicable laws (such as CAN-SPAM Act requirements in the U.S.).

Please note that you cannot opt out of important service or account-related communications that are considered essential to the operation of WiseOwl. For instance, we may need to send you messages about security, account verification, password resets, material changes to these Terms or the Privacy Policy, or other critical notices. These communications are necessary for your account and the Service’s functionality, and by using WiseOwl you agree to receive them, even if you have opted out of non-essential communications.

School-to-Parent Communications: Part of WiseOwl’s functionality may involve enabling communications from your child’s school or teachers (such as reading recommendations, responses to your questions, or general announcements regarding the WiseOwl program at the school). By using the Service, you understand that educators may contact you through WiseOwl. Such communications are subject to these Terms and the privacy protections outlined in our Privacy Policy. If you have an issue with communications from a particular school or educator, please contact your school administration or WiseOwl support for assistance.

  1. Intellectual Property Rights

WiseOwl’s Content: The Service, including all content, information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof (collectively, “WiseOwl Content”), is the property of WiseOwl Innovations or its licensors and is protected by United States and international intellectual property laws (such as copyright, trademark, and patent laws). WiseOwl and the WiseOwl logo are trademarks or service marks of WiseOwl Innovations. All rights not expressly granted to you in these Terms are reserved by WiseOwl and its licensors.

Subject to your compliance with these Terms, WiseOwl grants you a limited license to access and use the Service and WiseOwl Content for your personal, non-commercial, educational purposes. This license is non-transferable and revocable. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, or transmit any of the WiseOwl Content except as permitted in these Terms or with our prior written permission. For example, you must not scrape or data-mine our site, and you must not copy or share WiseOwl’s materials (like graphics or text) outside the platform except as explicitly allowed.

Restrictions: You agree not to remove, obscure, or alter any copyright, trademark, or other proprietary rights notices on any WiseOwl Content. You also agree not to reverse engineer, decompile, or disassemble any software or underlying technology of the Service, except to the extent that such activity is expressly permitted by applicable law notwithstanding this restriction.

User Content License to WiseOwl: (As described in Section 4) by posting or submitting User Content on the Service, you give WiseOwl the right to use and process that content for the purposes of running the Service. You represent that you have all necessary rights to grant us this license for any content you provide. This license is limited to our operational needs – we do not claim ownership of your original content, and we will not use your content outside of providing and improving WiseOwl.

If you provide us with any suggestions, feedback, or ideas on how to improve WiseOwl (“Feedback”), you acknowledge that such Feedback is given voluntarily and that we are free to use it however we see fit, without any obligation to you.

  1. Third-Party Services and Links

WiseOwl may contain links or integrations to third-party websites, products, or services. For example, within the platform you might find:

  • Links to external book retailers or resources (e.g., an Amazon link to a book that is recommended or available for purchase).
  • Integration with your school’s library management system or catalog via secure APIs, which allows WiseOwl to display book availability and record checkouts.
  • Embedded content or tools provided by third parties (such as a reading-level assessment widget or analytics tools).

Third-Party Websites: Any third-party websites linked from WiseOwl are not under our control, and we are not responsible for the content, features, or privacy practices of those sites. If you click a link to an external site (for instance, to purchase a book or view an external article), you will be subject to that third party’s terms and policies. The inclusion of any link on our Service does not imply endorsement by WiseOwl of the third-party site or its content. We recommend you review the terms and privacy policy of any third-party site you visit.

Third-Party Services/Integrations: Similarly, if WiseOwl integrates or interoperates with third-party systems (like a school’s library database or authentication system), those systems are typically managed by the school or a third party. WiseOwl is not responsible for any downtime, inaccuracies, or issues originating from third-party services. However, if you encounter a problem with a third-party integration that affects WiseOwl’s functionality, please inform us and we will work to resolve it in collaboration with the relevant third party.

No Liability for Third Parties: You agree that WiseOwl has no liability arising from your use of or reliance on any third-party materials. Any dealings you have with third parties while using the Service (such as purchasing a book from a linked retailer) are solely between you and the third party, and you agree that WiseOwl is not responsible or liable for any loss or claim you may have against a third party.

  1. Termination of Use

By You: You are free to stop using WiseOwl at any time. If you wish to terminate your account, you may do so by contacting us at support@wiseowlinnovations.com or by following any account deletion procedures that may be available within the Service. You can also contact your child’s school to indicate that you no longer wish to participate in the WiseOwl program. Terminating your account will disable your access to the Service. Keep in mind that even if you stop using WiseOwl, your child’s school may retain certain information as part of the student’s education record (subject to school policies and law), but such information will no longer be accessible through the platform once your account is removed.

By WiseOwl: We reserve the right to suspend or terminate your access to the Service (or certain features of the Service) at our discretion, with or without prior notice, if we believe that: (a) you have violated any provision of these Terms or any applicable law or regulation; (b) your use of the Service could create risk or legal exposure for WiseOwl or any other users; (c) the account has been inactive for an extended period; or (d) our agreement with the school through which you have access has ended or that school is no longer participating in WiseOwl. We may also terminate the Service or any part of it, or terminate your account, if we discontinue the platform entirely. Where reasonably possible (and not involving egregious violations), we will provide you with notice of improper behavior and an opportunity to remedy it before terminating.

Effect of Termination: Upon any termination of your use of the Service, whether by you or us, your right to access and use WiseOwl will immediately cease. You must discontinue all use of the Service, and you may no longer access your account or any content stored on the platform. WiseOwl will have no obligation to maintain or provide you with any of your content (including your User Content), and we may, unless prohibited by law or our agreement with your school, irretrievably delete your account and all data associated with it. However, we reserve the right to retain certain data as necessary to comply with legal obligations, resolve disputes, or enforce our agreements.

Sections of these Terms that by their nature should survive termination (such as indemnification, disclaimers, limitations of liability, and governing law) will survive any termination.

  1. Disclaimer of Warranties

Use at Your Own Risk: WiseOwl strives to provide a high-quality, secure, and reliable Service, but the Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, WiseOwl disclaims all warranties and representations of any kind, whether express, implied, or statutory, regarding the Service. This includes, but is not limited to:

  • Implied Warranties: We disclaim any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee that the Service will meet your specific needs or expectations.
  • Continuity and Accuracy: WiseOwl does not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not make any promises regarding the accuracy or reliability of any information obtained through the Service (for example, the completeness of your child’s library records or the accuracy of third-party book data).
  • Corrections: While we aim to correct any issues that arise, we do not warrant that any defects or errors will be corrected immediately.
  • External Factors: We make no warranty that our emails or communications will reach you without fail (since deliverability can depend on external email providers), or that there will be no loss of any data. We encourage you to keep your own backup of any important information if necessary, although WiseOwl is not intended as a primary data storage service.

Educational Use: You acknowledge that WiseOwl is a tool to assist with communication and preferences around student reading. It is not a guarantee of any educational outcome. Any suggestions or recommendations (such as reading lists or conversation starters) are provided for informational purposes and you should use your own discretion and judgment when following them. WiseOwl does not warrant or certify the educational content (like books) that may be accessed through the Service; those remain the responsibility of the authors, publishers, or the school’s curriculum.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you. In such cases, any implied warranties are limited to the minimum duration allowed by applicable law.

  1. Limitation of Liability

To the maximum extent permitted by law, in no event will WiseOwl Innovations or its affiliates, officers, employees, agents, partners, or licensors (collectively, the “WiseOwl Parties”) be liable for:

  • Indirect or Consequential Damages: Any indirect, special, incidental, consequential, or punitive damages that result from your use of, or inability to use, the Service. This includes any damages for lost profits, lost data, personal injury, pain and suffering, emotional distress, business interruption, or other intangible losses arising out of or related to the use of WiseOwl, even if we have been advised of the possibility of such damages.
  • Outcome of Use: We will not be liable for any harm to you, your child, or your computer system, or for any loss of data, that results from the use of the Service or from the download of any content through the Service. You assume full responsibility for any choices you make based on information obtained through WiseOwl (for example, decisions regarding your child’s reading materials).
  • Total Liability Cap: In any case, the total aggregate liability of the WiseOwl Parties for any claim arising out of or relating to these Terms or the Service will be limited to the greater of $100 USD or the amount (if any) you paid us to use the Service in the 12 months prior to the events giving rise to the liability. (For most parent users, you pay $0, as the service is provided through the school; in such cases, our liability will be capped at $100.) This limitation applies to all claims of every kind, whether based in contract, tort (including negligence), strict liability, or any other legal theory.

Exceptions: Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full. In such jurisdictions, WiseOwl’s liability will be limited to the extent permitted by law.

WiseOwl assumes no liability for any failure to perform its obligations where the failure results from any cause beyond WiseOwl’s reasonable control, including but not limited to acts of God, labor disputes, war, terrorist acts, malicious acts by third parties, technical or utility failures, or governmental action.

  1. Indemnification

You agree to defend, indemnify, and hold harmless WiseOwl and its affiliates, and each of their respective officers, directors, employees, agents, and partners, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees and court costs) arising out of or in any way connected with: (a) your access to or use of the Service (including any actions taken by a person using your account); (b) your violation of any provision of these Terms or any applicable law or regulation; (c) your infringement or misappropriation of any intellectual property or other rights of any person in connection with your use of WiseOwl; or (d) any dispute or issue between you and any third party (such as a school, another user, or a content provider).

WiseOwl reserves the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you (in which case you agree to cooperate with our defense of that claim). You agree not to settle any such matter without the prior written consent of WiseOwl.

This indemnification obligation will survive the termination of your use of the Service and/or these Terms.

  1. Changes to These Terms

WiseOwl may revise or update these Terms of Service from time to time. We will post any changes on this page with an updated revision date. If we make material changes to these Terms, we will take reasonable steps to notify you, such as by sending an email to the address associated with your account or by placing a prominent notice within the Service. The most current version of the Terms will always be available on our website and will supersede all previous versions.

By continuing to use the Service after any changes to the Terms take effect, you indicate your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using WiseOwl. It is your responsibility to review these Terms periodically for changes.

For users who have a direct contractual relationship with WiseOwl (such as a school or district), any changes to these Terms that materially affect that contract will be handled in accordance with the contract’s provisions (for example, a requirement to give a certain notice period or obtain consent from the school).

  1. Governing Law and Dispute Resolution

These Terms of Service and any action arising out of or related to your use of WiseOwl will be governed by and construed in accordance with the laws of the State of [Your State] and the federal laws of the United States of America, without regard to its conflict of law principles. (If you are using WiseOwl on behalf of a school, you may have a separate agreement that specifies a governing law – generally, we align with the state in which the school is located, but in absence of a specified choice, we default to [Your State].)

Jurisdiction and Venue: You agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service that is not resolved through informal negotiation will be brought exclusively in the state or federal courts located in [County/City], [Your State]. You consent to the personal jurisdiction of these courts and waive any objection that such courts are an inconvenient forum. Notwithstanding this, if you are an individual using the Service for personal purposes, any mandatory consumer protection laws of your state of residence will apply for your benefit where applicable.

Dispute Resolution; No Class Actions: We encourage you to contact us first if you have any issue with WiseOwl, as we aim to resolve most user concerns quickly and amicably. In the event of a legal dispute, you and WiseOwl each waive the right to a trial by jury and agree that any proceedings will be conducted only on an individual basis (and not in a class, consolidated, or representative action). You may bring claims only on your own behalf. This means you cannot seek relief that would affect other WiseOwl users. (This class action waiver may not apply in certain jurisdictions if it is not permitted by law, but it applies to the extent allowed.)

  1. Miscellaneous

Entire Agreement: These Terms of Service, together with the Privacy Policy and any other legal notices or guidelines posted on our website, constitute the entire agreement between you and WiseOwl regarding the Service. They supersede any prior agreements, communications, and proposals, whether oral or written, between you and us regarding WiseOwl. In the event of a conflict between these Terms and any other policy or agreement, these Terms will generally control with respect to your use of the Service (unless explicitly stated otherwise in a particular legal agreement with a school or district).

Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of WiseOwl.

No Assignment: You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. WiseOwl may freely assign these Terms (in whole or in part) as part of a merger, acquisition, sale of assets, or by operation of law or otherwise. These Terms will inure to the benefit of and bind the parties’ permitted successors and assigns.

No Third-Party Beneficiaries: These Terms do not confer any rights or remedies on any person other than you and WiseOwl and our respective successors and permitted assigns. No third party (including any student) shall have the right to enforce any provision of these Terms.

Relationship of the Parties: Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, or fiduciary relationship between you and WiseOwl. Both parties are independent contractors.
